Terms of Service

What the service is

OPTSPX is optical-retail software that lets an optical shop manage prescriptions, client records, lens search, orders, inventory and reporting across one or more branches, on a subscription basis (the “Service”). These terms govern a shop’s (the “Customer”, “you”) use of the Service.

Accounts, eligibility and your staff’s use

You must provide accurate information when creating an account and keep it up to date. You are responsible for the confidentiality of your account credentials and for all activity carried out under accounts you or your staff control.

When you invite a staff member, you are responsible for their use of the Service within the role and branch access you grant them, and for removing that access when it is no longer appropriate — for example, when someone leaves your shop.

Acceptable use

You agree not to use the Service to store or process data you are not entitled to hold, to attempt to gain unauthorised access to any part of the Service, to disrupt or overload it, or to use it in a way that breaches applicable law, including data protection law that applies to your clients’ records.

Your data remains yours

Everything you and your staff enter into the Service — your catalogue, your client and prescription records, your orders and your reports — belongs to you. We process it on your instructions, as described in our Privacy Policy, in order to provide the Service; we do not use it for our own purposes and do not claim ownership over it.

You can export your data at any time while your subscription is active, in a format usable outside the Service.

Subscription term, payment and renewal

The Service is billed on a recurring subscription covering the branches on your account. Your subscription renews automatically at the end of each billing period unless you cancel before it renews; we will notify you in advance of renewal and of any change in price.

Fees are due as set out at sign-up or in your order confirmation. If a payment fails and is not resolved within a reasonable period, we may suspend your access to the Service until it is.

Availability and support

We aim to keep the Service available and to provide support during our stated hours, but we do not guarantee uninterrupted availability. Planned maintenance is communicated in advance where reasonably possible, and the Service is designed to keep working through short outages, syncing once connectivity returns.

Limitation of liability

To the extent permitted by applicable law, our liability to you arising from these terms or your use of the Service is limited to direct losses and will not exceed the fees you paid us in the period immediately preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, including lost profits or lost business.

Nothing in these terms excludes liability that cannot be excluded by law.

Suspension and termination

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless we agree otherwise. We may suspend or terminate your access if you materially breach these terms, including for non-payment, and will give you reasonable notice to remedy the breach where practical before doing so.

After termination, we retain your data for a reasonable period to allow you to export it, after which it is deleted in line with our data-retention procedure and our Privacy Policy.

Changes to these terms

We may update these terms as the Service or the law changes. We will post the revised terms here with an updated date and, for material changes, aim to give you reasonable notice before they take effect. Continuing to use the Service after a change takes effect means you accept the updated terms.
